End User License Agreement PLEASE READ THIS AGREEMENT CAREFULLY. THIS END USER LICENSE AGREEMENT ("AGREEMENT") IS BETWEEN MARKET WEST (THE "COMPANY") AND YOU, AN INDIVIDUAL OR AN INDIVIDUAL ACTING ON BEHALF OF YOUR EMPLOYER, A CORPORATION, PARTNERSHIP OR OTHER LEGAL ENTITY THAT WILL BE USING THE PERTH MARKET THROUGHPUT INFORMATION (THE "USER"). THIS AGREEMENT GIVES USER THE RIGHT TO ACCESS AND USE THE THROUGHPUT INFORMATION COLLATED BY THE COMPANY AND PROVIDED BY CTA TENANTS (THE "TENANTS") AS PER THE TERMS STATED IN THIS AGREEMENT. THE COMPANY IS WILLING TO GRANT A USER THE RIGHT TO ACCESS AND USE THE COMPANY'S THROUGHPUT INFORMATION ONLY IF THE USER ACCEPTS ALL OF THE TERMS OF THIS AGREEMENT, AND HAS PROVIDED THE COMPANY WITH ALL THE REQUIRED INFORMATION PRIOR TO REGISTRATION. BY CLICKING THE "I AGREE" BUTTON BELOW AND ACCESSING THE THROUGHPUT INFORMATION, THE USER ACKNOWLEDGES THAT USER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY IT. IF THE USER DOES NOT AGREE TO ALL OF THE TERMS IN THIS AGREEMENT, THE USER SHOULD NOT ACCESS OR OTHERWISE UTILIZE THE PRODUCTS BECAUSE NO LICENSE SHALL HAVE BEEN GRANTED THERETO. 1. USER'S REGISTRATION OBLIGATIONS In consideration of use of the Services, User agrees to: (a) provide true, accurate, current, and complete information about User as prompted by the registration form; and (b) to maintain and update this information to keep it true, accurate, current, and complete. If any information provided by User ("Registration Data") is untrue, inaccurate, not current, or incomplete, Company and Client have the right to terminate User's account and refuse any and all current and/or future use of the Services. 2. DATA LIMITATIONS (a) Throughput information provided only considers throughput sold by wholesale agents trading in the central trading area (CTA). (b) The throughput weights and values reported from the Perth Markets are collected via auto transfer of information and rely on information provided by Perth Markets CTA tenants. The Company does not guarantee the accuracy of this data nor that it is entirely true or correct. (c) As most product lines are sold by containers, conversion factors have been used to convert containers of produce into standard kilogram weights. Conversion factors are available for viewing online, and although every effort has been made to verify the accuracy of data, variations in packing may occur which may cause reported weights to differ slightly from actual market throughput weights. 3. CONFIDENTIALITY Throughput information provided may contain legally privileged and confidential information that must not be reproduced, altered or re-distributed, except with the express permission of the Company. 4. DISCLAIMER AND LIMITATION OF LIABILITY (a) User expressly agrees that use of the services is at user's sole risk. The services are provided on an "as is" and "as available" basis. (b) The company makes no warranty that the throughput information will meet user's requirements or that the services will be uninterrupted, timely, secure, or error free; nor does company make any warranty as to the results that may be obtained from the use of the information provided. (c) User agrees that the company shall not be liable for any indirect, incidental, special or consequential damages resulting from the use or the inability to use the throughput information provided, nor for costs arising from commercial agreements entered into or decisions made based upon the throughput information provided.
